Bangkok: GC is preparing to offer two tranches of debentures to the public, with subscriptions open from September 14-21, 2026. The debentures, which have maturities of 7 years and 10 years, are designed to enhance GC's long-term capital management plan, strengthen its financial position, and promote high-value, low-carbon business ventures.
According to Thai News Agency, PTT Global Chemical Public Company Limited (GC), a global leader in the chemical industry and the primary chemical business of PTT Group, is set to issue unsecured, unsubordinated, and uncollateralized debentures with a debenture holder representative. The debenture offering will include a 7-year tranche and a 10-year tranche, both allowing the issuer the right to redeem before maturity. The subscription window is scheduled for September 14-21, 2026, and will be facilitated by six major banks: Bangkok Bank, Krung Thai Bank, Krungsri Bank, Kasikornbank, Siam Commercial Bank, and CIMB Thai Bank. Priority will be given to existing debenture holders and senior citizens to widen the investor base as part of GC's strategic financial initiatives.
The proceeds from this bond issuance are earmarked for use as working capital and for repaying existing loans. This financial strategy aims to increase liquidity and solidify GC's financial structure, enabling resilience in the face of fluctuating energy prices driven by global economic and geopolitical factors. Mr. Titipong Chulaponsiridee, Senior Vice President of Finance and Accounting at GC, remarked on the significance of this debenture issuance, highlighting it as the company's return to unsecured, unsubordinated bonds after a four-year hiatus. Previous bond issuances in 2024 and 2025, which featured equity-like characteristics, were positively received by investors, showcasing confidence in GC's potential as PTT Group's leading chemical business. GC's commitment to systematic capital management aligns with its Portfolio Transformation strategy, preparing the company for sustainable growth in high-value, low-carbon sectors.
The debentures, which are unsecured and unsubordinated, come with a debenture holder representative and offer the issuer redemption rights before maturity. Tranche 1 features a 7-year term with an interest rate ranging from 2.65% to 2.80% per annum, while Tranche 2 offers a 10-year term with interest rates between 3.00% and 3.15% per annum. Final interest rates will be announced at a later date.
GC's offering will be accessible to a broad range of investors through a three-phase subscription process. Phase 1, from September 14-15, 2026, targets holders of PTTGC296A bonds. Phase 2, scheduled for September 16-17, 2026, is reserved for senior citizens aged 60 and above. Phase 3, from September 18 and 21, 2026, will be open to individual investors. Subscriptions can be made through branches and online platforms provided by the underwriters.
The lead underwriter emphasized GC's strategic return to issuing unsecured, unsubordinated bonds, prioritizing existing PTTGC296A bondholders in Phase 1. Phase 2 focuses on senior citizens, aligning with GC's commitment to providing stable investment options with continuous income during retirement. Phase 3 aims to broaden GC's bondholder base by inviting the general public to invest.
Each debenture tranche requires a minimum subscription of 100,000 baht, with increments of 100,000 baht, without an upper limit on investment per individual.
