SET Seeks Public Input on Enhancing Gatekeeper Criteria for Listed Companies

Bangkok: The Stock Exchange of Thailand (SET) is holding a hearing to upgrade the Gatekeeper criteria for listed companies, aiming to strengthen corporate governance and protect shareholders. The initiative is part of SET's efforts to improve transparency and governance in the marketplace.

According to Thai News Agency, the Stock Exchange of Thailand is inviting public comments on proposed revisions designed to bolster the Gatekeeper mechanism for listed companies. The mechanism encompasses internal auditors, audit committee members, and independent directors. The revisions aim to enhance transparency, governance, information disclosure, and promote the use of electronic proxy voting at shareholder meetings. The consultation period is open until August 7, 2026.

SET is preparing to amend regulations to support the Gatekeeper mechanism of listed companies. These revisions will focus on internal auditors, audit committee members, and independent directors, who play a critical role in scrutinizing and monitoring the operations of listed companies. The objective is to ensure transparency, good governance, and the protection of shareholder interests. The revisions also aim to improve the disclosure of compliance with relevant regulations and the exercise of shareholder rights, aligning with SET's mission to establish a trusted marketplace.

Key points in the proposed revisions include promoting Gatekeeper mechanisms by setting qualifications for internal auditors in terms of academic credentials and work experience. Listed companies lacking adequate Audit Committees or Independent Directors will need to address these deficiencies promptly. Additionally, the compliance of listed companies in disclosing information and adhering to regulations will be emphasized. Companies will be required to disclose additional preventative measures in cases of delayed, incomplete, or inaccurate information disclosure.

The proposed revisions also encourage the exercise of shareholder rights at meetings by promoting electronic proxy voting and the distribution of meeting documents in electronic formats. This measure aims to ensure equal access to information for all shareholder groups.
